Welcome to Geodb.io ("Geodb," "we," "us," or "our"), a Software-as-a-Service (SaaS) platform provided by Aqua Terra Geoscientists LLC, an Idaho limited liability company. These Terms of Service ("Terms") govern your access to and use of our cloud-based mineral exploration data storage services (the "Service"). By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

These Terms of Service ("Terms") govern your access to and use of our cloud-based mineral exploration data storage services (the "Service"). By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Description of Service
Geodb.io provides cloud-based storage for mineral exploration data, accessible to both individuals and companies. The Service is hosted on third-party cloud providers, including Vultr (Texas) and DigitalOcean (California), and allows Users to upload, store, and manage their data through our platform.
2. Eligibility and Account Responsibility
You must be at least 18 years old and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3. User Data and Ownership
Ownership: You retain full ownership of all data you upload to the Service ("User Data"), subject to the rights granted to us below. License to Geodb.io: By uploading User Data, you grant Geodb.io a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, process, and analyze your User Data solely for the purpose of training artificial intelligence (AI) models and improving our Service. We will not share your User Data with third parties except as necessary to provide the Service (e.g., with our cloud hosting providers) or as required by law. User Representations: You represent and warrant that (a) you have the legal right to access, use, and upload all User Data, and (b) your use of the Service and User Data does not violate any applicable laws, regulations, or third-party rights.

- Engaging in any activity that violates local, state, federal, or international laws.
- Attempting to interfere with, disrupt, or harm the Service, its infrastructure, or other Users.
- We reserve the right to suspend or terminate your access to the Service, without notice, if we suspect a violation of these Terms.
5. Limitation of Liability
Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEODB.IO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE PRECEDING TWELVE (12) MONTHS.
Third-Party Providers: We are not responsible for any failures, outages, or data loss caused by our third-party cloud providers (e.g., Vultr, DigitalOcean) or other external factors beyond our reasonable control.
6. Indemnification
You agree to indemnify, defend, and hold harmless Geodb.io LLC, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your User Data, or (c) your violation of these Terms or applicable law.
7. Termination
We may suspend or terminate your access to the Service at our sole discretion, with or without cause and with or without notice. Upon termination, your right to access the Service will cease, but these Terms (including Sections 3, 5, 6, and 8) will survive termination.
8. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Dispute Resolution: Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Ada County, Idaho. You agree to submit to the personal jurisdiction of such courts.
9. Third-Party Services
The Service relies on third-party cloud providers, including Vultr (Texas) and DigitalOcean (California). Your use of the Service is subject to the terms and conditions of these providers, where applicable. We are not responsible for their performance, availability, or policies.
10. Pricing and Payment
- Fees: Access to the Service may require payment of fees as specified on our website or within the Service interface ("Fees"). All Fees are non-refundable unless otherwise stated.
- Payment Terms: You agree to pay all Fees in accordance with the payment terms provided at the time of purchase. Payments may be processed through third-party payment processors, and you agree to provide accurate billing information.
- Changes to Pricing: We reserve the right to modify the Fees or payment terms at our sole discretion. Any changes will be communicated to you via email or through the Service at least thirty (30) days prior to taking effect, unless immediate changes are required by law or third-party providers. Your continued use of the Service after such changes constitutes your acceptance of the revised Fees or payment terms.
- Late Payments: Failure to pay Fees when due may result in suspension or termination of your access to the Service, at our discretion.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
